Collaboration agreement

Kade Kombucha x Lotte: ambassadeur met belang, reference d-1

1. 1. Parties

   • Kade Kombucha, represented by Femke de Groot ("the Brand").
   • Lotte de Wit ("the Creator").
   • STAKES facilitates this collaboration: it sets up the arrangements, tracks delivery and processes payouts. STAKES is not a party to the arrangements between Brand and Creator, unless stated otherwise below.

2. 2. What the Creator does

   • Reel: ochtendroutine met Kade, no later than 27/08/2026.
   • Drie stories over de nieuwe smaak, no later than 26/09/2026.
   • TikTok: smaaktest, no later than 24/10/2026.
   • Reel: najaarssmaak, no later than 20/11/2026.

3. 3. Compensation

   • Fixed fee (cash floor): €250 per month, for 12 months.

4. 4. Phantom shares

   • The Creator receives a right to a cash bonus equal to 0.8% of the proceeds on a sale of (the majority of) the Brand, or of the value at a funding round, as set out in the appendix.
   • This right builds up over 12 months, with a cliff of 3 months, and only to the extent the deliverables are approved.
   • The Creator receives no shares, voting rights or dividend.
   • Co-investment: the Creator may join a future funding round of the Brand on the same terms as the other investors, up to the amount in the appendix.

5. 5. Advertising and honesty

   • Every post under this agreement is advertising, even if the Creator is paid in revenue share, options or shares. The Creator discloses this clearly (#ad, #reclame or the platform's paid partnership label), in line with the Dutch Advertising Code for Social Media & Influencer Marketing.
   • The Brand checks the disclosure and shares responsibility.
   • The Creator does not work for these categories: Alcohol, gokken.

6. 6. Content and usage rights

   • The Creator remains the owner of the content. The Brand may use the content on its own channels for the term plus three months. Paid advertising with the content only with written permission.

7. 7. Term and ending

   • Term: 12 months from 18/07/2026.
   • Pilot: the first 3 months are a pilot. The Brand can stop after month 1 without giving a reason; whatever has been approved up to then is paid.
   • The fixed fee is due per approved deliverable. If the Creator does not deliver in a given month, no fixed fee is due for that month.
   • Either party may terminate early with one month's notice. What has been earned up to then is paid out.

8. 8. Privacy and law

   • STAKES processes the personal data needed for this collaboration, in line with the privacy statement at stakes.agency.
   • Dutch law applies to these arrangements.
